Acceptance of Terms
By accessing or using the ElitePro platform and services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree with any part of these Terms, you must not access or use our Services. We reserve the right to modify these Terms at any time, and your continued use of the Services following any changes constitutes acceptance of the updated Terms.
Services Description
ElitePro provides cloud-based payroll processing, human resource management (HRMIS), timekeeping, and workforce automation software designed for the Jamaican business environment. Our Services include automated statutory calculations for NIS, NHT, Education Tax, and HEART/NSTA contributions, bank file generation, payslip distribution, compliance reporting, and related professional services including payroll outsourcing, implementation, training, and ongoing compliance updates.
User Accounts
To access the ElitePro platform, you must create an account with accurate and complete registration information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Each user account is personal and non-transferable. You must immediately notify ElitePro of any unauthorized use of your account or any other security breach.
Acceptable Use
You agree to use the ElitePro Services only for lawful purposes and in accordance with these Terms. You shall not: (a) use the Services to process payroll or HR data for which you do not have proper authorization; (b) attempt to gain unauthorized access to any part of the Services; (c) interfere with the integrity or performance of the Services; (d) reverse engineer, decompile, or disassemble any aspect of the Services; (e) use the Services to transmit viruses or harmful code; or (f) use the Services in any manner that could damage or impair the Services.
Intellectual Property
The ElitePro platform, including all software, designs, text, graphics, interfaces, and underlying technology, is owned by ElitePro Systems Limited and is protected by Jamaican and international intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to access and use the Services during the subscription term. You retain ownership of all payroll data, employee records, and other content you input into the platform.
Data & Confidentiality
We understand that payroll and HR data is highly sensitive. ElitePro maintains strict confidentiality obligations regarding all client data processed through our platform. We implement industry-standard security measures including encryption at rest and in transit, access controls, and regular security audits. Your data is stored on secure servers and is only accessed by authorized personnel as necessary to provide the Services.
Limitation of Liability
To the maximum extent permitted by Jamaican law, ElitePro Systems Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill. Our total aggregate liability shall not exceed the amount you paid to ElitePro in the twelve (12) months preceding the claim. Nothing in these Terms excludes liability for fraud, gross negligence, or any liability that cannot be excluded under applicable law.
Termination
Either party may terminate the service agreement in accordance with your subscription plan. Upon termination, your right to access the Services will cease immediately. ElitePro will make your data available for export for thirty (30) days following termination, after which your data may be permanently deleted. You remain responsible for all fees incurred prior to the termination date.
Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of Jamaica. Any dispute arising out of these Terms shall be subject to the exclusive jurisdiction of the courts of Jamaica, located in Kingston. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. These Terms constitute the entire agreement between you and ElitePro regarding the Services.
